2. Services Provided
Adam Intellect Logistics provides independent dispatching services for owner-operators and trucking companies. Our services may include:

Dispatch coordination
We are not a carrier, broker, or freight forwarder. We do not assume possession, control, or responsibility of any cargo.
3. Client Agreement
By signing up for dispatch services, the client agrees to:

Provide accurate company, driver, and equipment information.

Authorize Adam Intellect Logistics to represent the carrier when booking loads and communicating with brokers or shippers.

Maintain all required licenses, insurance, and compliance documentation.
4. Payment and Fees
Clients must pay service fees as outlined in their dispatch agreement or service plan.

Payments are due per load or weekly, as specified.

Late payments may result in service suspension or termination.

All fees are non-refundable once services have been rendered.
5. Client Obligations
The client agrees to:

Communicate promptly and professionally with dispatchers.

Provide all necessary delivery documents (e.g., Proof of Delivery).

Comply with all FMCSA, DOT, and state/federal regulations.

Maintain valid operating authority and insurance coverage.
6. Limitation of Liability
Adam Intellect Logistics acts solely as a dispatching service provider.
We are not responsible for:

Cargo loss, damage, or delays

Accidents, equipment breakdowns, or mechanical issues

Payment disputes between carriers, brokers, or shippers
Adam Intellect Logistics shall not be liable for indirect, incidental, or consequential damages arising from service use.
7. Termination
Either party may terminate the agreement with written notice.
Outstanding payments for completed services must be settled before termination.
Adam Intellect Logistics may terminate services immediately in cases of non-payment, fraudulent activity, or breach of terms.
8. Governing Law
These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.
Any disputes shall be resolved in courts located within New York.
9. Amendments
Adam Intellect Logistics reserves the right to update or modify these Terms at any time. Updated versions will be posted on our website with a revised effective date. Continued use of our services after such updates constitutes acceptance of the new Terms.
